Terms and Conditions for Ascend AI Ltd

1. Introduction
   These Terms and Conditions (“Terms”) govern your use of services provided by Ascend AI Ltd (“Ascend AI”, “we”, “us”, or “our”), a company established in Mauritius with a registered address at The Depot, Labourdonnais, Mapou, Mauritius. By using our services, you agree to these Terms. If you disagree with any part of the terms, you may not use our services.
   
   

2. Services
   Ascend AI provides AI-driven LinkedIn lead generation and outreach services, including:

• Creation of personalised LinkedIn outreach campaigns

• Sourcing of contacts for strategic outreach

• Crafting and optimising outreach messages

• Automation of outreach using AI insights
  
  

3. Eligibility
   You must be at least 18 years old to use Ascend AI’s services. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age.
   
   

4. Subscription, Payment & Service Management
   4.1 Commitment: Our services are provided on a month-to-month basis. The contract will automatically renew at the start of each billing cycle unless cancelled by the Client.
   4.2 Fees: You agree to pay the monthly fee as specified in your service agreement. Payments are processed via Stripe or other approved payment providers.
   4.3 Refund Policy: All payments are non-refundable. No refunds will be issued for services already rendered or if the service is cancelled mid-cycle.
   4.4 Service Management: At the end of each monthly billing cycle, the Client may choose to:

• Cancel the Contract – The Client may terminate this Agreement without penalties by providing written notice before the next billing cycle. No refunds shall be issued for services already rendered.

• Pause the Service – The Client may suspend the service at their discretion, with the option to resume at a later date without incurring reactivation fees. This does not affect any outstanding payment obligations incurred before the termination or pause of the service.

• Continue the Engagement – The Client may elect to extend the service for an additional month to further scale results
  
  

5. Client Responsibilities
   You are responsible for providing all necessary information, feedback, input, and approvals required for the successful performance of our services. This includes, but is not limited to:

• Information about your business and target audience

• Sample outreach materials

• Goals for lead generation campaigns

• Detailed answers to Ascend AI’s onboarding form
  
  

6. Confidentiality
   Both parties agree to keep confidential any proprietary information shared during the course of service provision. This includes, but is not limited to, lead generation processes, client information, and the existence and content of the service agreement.
   
   

7. Data and Records Management
   You are solely responsible for managing and storing the data and records related to the leads generated by our services. Ascend AI does not maintain data records or backup files.
   
   

8. Intellectual Property
   All materials, including trademarks, copyrights, business processes, methods, documents, and designs provided by Ascend AI remain the property of Ascend AI.
   
   

9. No Warranty
   Our services are provided “as is” without any warranty of any kind, either express or implied.
   
   

10. Limitation of Liability
    Ascend AI will not be liable for any indirect, special, consequential, incidental, or punitive damages arising from the use of our services.
    
    

11. Indemnification
    You agree to indemnify and hold Ascend AI harmless from any claims, actions, or proceedings arising from your breach of these Terms or your use of our services.
    
    

12. Governing Law and Dispute Resolution
    These Terms are governed by the laws of Mauritius. Any disputes arising under or in connection with these Terms will be resolved by arbitration in Mauritius, conducted in accordance with the rules of the Mauritius Chamber of Commerce and Industry (MCCI) or the LCIA-MIAC Arbitration Centre. The arbitration will be conducted in English, and the decision of the arbitrator will be final and binding on both parties.
    
    

13. Changes to Terms
    We reserve the right to modify these Terms at any time. We will provide notice of significant changes.
